1. Agreement to these terms
These terms govern your use of Heya, including heya.page, the builder at app.heya.page, and the sites we host for you (together, the "Service"). Heya is operated by Bitgate, Inc. ("Bitgate", "we", "us"). By using Heya, you agree to these terms and to our Privacy policy. If you don't agree, please don't use Heya.
You must be at least 16 years old to use Heya. If you use Heya on behalf of an organization, you confirm that you're allowed to accept these terms for it.
2. Your account
Keep your sign-in details secure and your account information accurate. You're responsible for what happens in your account. If you think someone has accessed it without your permission, contact us right away.
3. Your sites and content
You own the content you add to Heya. To run the Service, you give us a worldwide, non-exclusive, royalty-free license to host, store, copy, display and distribute your content, only as needed to operate, secure and improve Heya. This includes publishing your sites at the address you choose, making backups, and showing previews in your account. The license ends when you delete the content, except for copies we keep in backups for a limited time or where the law requires us to keep them.
You're responsible for your content and for having the rights to publish it. If your site collects information from visitors, for example through a form, you're responsible for handling it lawfully and telling your visitors how you use it.
4. Acceptable use
Don't use Heya to:
- break the law, or publish content that infringes someone else's rights;
- phish, collect passwords or payment details under false pretenses, or impersonate a person or brand;
- distribute malware, or attack, probe or overload any system, including ours;
- send spam or other unsolicited messages;
- publish child sexual abuse material, content that promotes violence or terrorism, or content that harasses or threatens others;
- get around the limits of your plan, or resell the Service without our permission.
We may remove content, take sites offline, or suspend accounts that break these rules, without notice when that's needed to protect our users or the Service. To report abuse, email abuse@heya.page.
5. Addresses and custom domains
Free sites are published at an address on heya.page, such as your-name.heya.page. Addresses aren't property: you can't sell or transfer them, and we may reclaim an address that's misleading, infringes someone's rights, or belongs to a site that has been inactive for a long time.
With a plan that includes custom domains, you can connect a domain you own. You buy and manage the domain with your registrar, and you're responsible for keeping it registered and its DNS records correct.
6. Plans, trials and billing
Heya has a free plan and paid Pro plans. Pro plans are billed yearly, in advance, through our payment provider, Stripe. Prices are shown before you buy, and taxes may apply.
Your plan renews automatically at the end of each billing period until you cancel. If we change the price of your plan, we'll tell you before your next renewal, so you can cancel before the new price applies.
If you start a free trial, Pro features switch off when it ends unless you choose a plan. We don't charge you for a trial.
Except where the law requires otherwise, payments aren't refundable. This doesn't affect any rights you have under consumer law.
7. Cancellation and termination
You can cancel your plan or close your account at any time. When you cancel a plan, it stays active until the end of the period you paid for. After that, your sites follow the limits of the free plan.
We may suspend or close your account if you seriously or repeatedly break these terms, if the law requires it, or if your account puts Heya or other users at risk. Where it's reasonable, we'll tell you first and give you a chance to fix the problem or save your content.
8. Changes to Heya
We're always improving Heya, so features may change, and we may add or remove them. If we remove something you pay for in a way that significantly affects you, we'll give you reasonable notice. If we ever stop offering Heya, we'll give you at least 30 days' notice and a way to download your sites, and refund any prepaid time you haven't used.
9. Our intellectual property
Heya, including its software, design, templates, illustrations and brand, belongs to Bitgate or our licensors. We give you a personal, non-exclusive license to use Heya and its templates to build and publish your sites. Except where the law allows it, you may not copy, resell or reverse engineer the Service, and you may not use our brand in a way that suggests we endorse you.
10. Third-party services
Your sites can include embeds, widgets and integrations from other services, such as analytics, video, maps or newsletters. Those services are provided by third parties under their own terms and privacy policies, and we aren't responsible for them.
11. Disclaimers
We work hard to keep Heya reliable, but we provide the Service "as is" and "as available". To the extent the law allows, we make no warranties, express or implied, including that Heya will be uninterrupted, error-free, or fit for a particular purpose. Keep your own copies of important content.
12. Limitation of liability
To the extent the law allows, Bitgate isn't liable for indirect or consequential losses, such as lost profits, revenue, data or goodwill. Our total liability for any claim related to Heya is limited to the greater of the amount you paid us in the 12 months before the claim, or 50 euros.
Nothing in these terms limits liability that can't be limited by law, such as liability for intent or gross negligence.
13. Changes to these terms
We may update these terms from time to time. We'll post the new version on this page and update the date at the top. If a change is significant, we'll let you know by email or in Heya before it takes effect. If you keep using Heya after a change takes effect, you accept the updated terms.
14. Governing law and general terms
These terms are governed by the laws of the Netherlands, and disputes go to the Dutch courts. If you're a consumer, you also keep the protection of the mandatory laws of the country where you live, and you can bring a claim in your local courts.
If any part of these terms turns out to be unenforceable, the rest still applies. If we don't enforce a right right away, we don't give it up. You may not transfer your rights under these terms without our permission; we may transfer ours as part of a merger, acquisition or sale of assets.
15. Contact
